1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and ItsFlag AI ("we", "us", "our"), covering your use of the ItsFlag AI website and service (the "Service"). By creating an account, running a scan, or otherwise using the Service, you accept these Terms. If you do not accept them, do not use the Service.

Our Privacy Policy and our Billing & Refunds terms are part of this agreement and are incorporated here by reference. Where a section of those documents conflicts with these Terms on the same subject, the more specific document governs that subject.

If you are using the Service on behalf of an organization, you confirm that you have authority to bind that organization, and "you" means both you and that organization.

3. What the Service does

ItsFlag AI analyzes publicly available Terms of Service, Privacy Policies, and similar documents, and returns a plain-language summary, a toxicity score from 0 to 100, and individual findings grouped by category — such as data sharing, tracking, content licensing, dispute resolution, billing, and liability.

How a scan works

  1. You submit a domain or a link, or paste document text directly.
  2. If you submitted a domain, we attempt to locate its legal documents automatically.
  3. We retrieve the document and convert it to plain text. This step uses a third-party reader service.
  4. We send that text to a third-party AI provider for analysis, along with our analysis instructions.
  5. We store and display the resulting score, summary, and findings, and add the scan to your history.

The “Who processes your information” section of our Privacy Policy identifies the third-party services involved in steps 3 and 4 and describes what is sent to each. Results are produced in the language you scanned in (English or Arabic).

4. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you may only purchase a paid plan with the consent and involvement of a parent or legal guardian, who accepts these Terms on your behalf and is responsible for the charges.

You may not use the Service if you are barred from doing so under the laws applicable to you, or if you are subject to sanctions or export-control restrictions that would prohibit it.

5. Your account

Running a scan requires an account. You can create one with an email address and password, or by signing in with Google where that option is enabled.

  • Give an accurate email address and keep it current. It is how we reach you about your account, your billing, and changes to these Terms.
  • Keep your credentials confidential. You are responsible for everything done through your account, whether or not you authorized it.
  • Tell us promptly at support@itsflag.com if you believe your account has been accessed without your permission.
  • Do not create multiple accounts to obtain additional free scan credits, and do not share, sell, or transfer your account.

You may close your account at any time. See “Suspension and termination” below for what happens to your data when you do, and the retention section of our Privacy Policy for how long anything is kept.

A new account starts with a fixed number of free scan credits. A credit is deducted only when a scan completes successfully — if discovery finds no document, retrieval fails, or the analysis errors out, you are not charged a credit.

Pro costs $3.99 per month and removes the credit limit. Billing, renewal, cancellation, and refunds are covered in our Billing & Refunds terms; in short, you may cancel at any time, Pro continues until the end of the period you paid for, and your first Pro charge is refundable within 14 days.

"Unlimited" means unlimited ordinary personal or business use. It does not license automated, scripted, or bulk scanning; see “Acceptable use” below.

7. Acceptable use

When using the Service, you agree not to:

  • Use it for any unlawful purpose, or in breach of the terms of any website whose documents you submit.
  • Access the Service by automated means — scripts, scrapers, headless browsers, or bots — or otherwise submit scans in bulk, except with our prior written permission.
  • Circumvent, or attempt to circumvent, scan credits, rate limits, access controls, or any other technical restriction, including by creating multiple accounts.
  • Attempt to access another user's account, scan history, or any scan you were not given a link to.
  • Probe, scan, overload, or disrupt the Service or its infrastructure, or interfere with another user's use of it.
  • Reverse engineer, decompile, or attempt to extract our source code, prompts, scoring methodology, or model configuration, except to the extent this restriction is unenforceable under applicable law.
  • Systematically extract results in order to build a dataset, index, or competing or derivative product.
  • Submit content you have no right to submit, including confidential, privileged, or export-controlled material, or personal data about other people that you are not permitted to share.
  • Present our output as a legal opinion, as certified, or as verified, or use it to defame, harass, or mislead — including by publishing a finding while omitting that it is automatically generated and may be inaccurate.

We may investigate suspected misuse and take any step we reasonably consider appropriate, including limiting scans, suspending or closing the account, and reporting unlawful activity to the authorities.

8. Third-party websites and documents

The Service analyzes documents published by other companies. We do not own that content, we are not affiliated with, endorsed by, or sponsored by the companies that publish it, and their names and trademarks are used only to identify the document being analyzed — nominative reference, not a claim of association.

We retrieve only documents that are publicly accessible without authentication. Where a finding quotes a clause, the quotation is a short extract reproduced for the purpose of analysis, criticism, and commentary.

We do not control third-party websites and are not responsible for their content, their practices, or the accuracy of what they publish. A score we generate is our automated assessment of a document — it is not a statement of fact about the company behind it, and it is not a warning about that company's conduct, security, or trustworthiness.

If you publish a document and believe a scan of it is inaccurate or infringes your rights, contact us at legal@itsflag.com with the document URL and the specific finding, and we will review it.

9. Text you submit

When you paste document text or submit a URL ("your input"), you keep all rights you have in it. You grant us a limited, non-exclusive, worldwide, royalty-free licence to store, transmit, and process that input — including sending it to the third-party reader and AI provider described in “What the Service does” above — for the sole purposes of producing your result, storing your history, keeping the Service secure, and complying with the law. That licence ends when the corresponding data is deleted.

Do not paste confidential material

Text you submit leaves our servers and is processed by third parties. Do not submit anything confidential, legally privileged, subject to a non-disclosure agreement, or containing other people's personal data that you are not permitted to share.

You confirm that you have the right to submit your input and that doing so does not breach anyone's rights or any agreement you are bound by.

10. Shared results are public

A share link is readable by anyone who has it

Sharing a result publishes it at a public address. Anyone with that link can open it without signing in, and can see the document analyzed, the score, the summary, and every finding — including any clause text quoted from a document you pasted.

Share links are not listed anywhere and are not intended to be guessable, but they are not secret and are not protected by a password. Anyone you send one to can forward it, and it may be indexed by a search engine if it is published on a public page. Do not share a result derived from a document you would not publish.

To have a shared result taken down, delete the scan from your history, or email privacy@itsflag.com and we will remove it.

11. Availability and changes to the Service

We aim to keep the Service available and accurate, but we do not promise any level of uptime or performance. The Service depends on third-party providers — hosting, database, document retrieval, and AI analysis — and an outage or change at any of them can interrupt or degrade it.

We may add, change, suspend, or withdraw features, adjust free-tier limits, or change the analysis model and methodology, which means the same document may score differently over time. Where a change would materially reduce what a paid plan provides, we will give reasonable advance notice by email or in the Service. If a change materially disadvantages you, you may cancel; see our Billing & Refunds terms.

We may carry out maintenance that makes the Service temporarily unavailable, and will try to schedule it to minimize disruption.

12. Intellectual property

The Service — including its software, interface, design, name, logo, analysis instructions, category taxonomy, and scoring methodology — belongs to ItsFlag AI and its licensors, and is protected by intellectual-property law. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service as it is provided, and nothing more. All rights not expressly granted are reserved.

You are free to use the results generated for you — read them, save them, quote them, and share them — provided you do not misrepresent them as human legal advice and you comply with “Acceptable use”. Feedback you send us is welcome, and we may use it without obligation or compensation to you.

13. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory. We specifically disclaim the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or usage of trade.

In particular, and without limiting “The Service is not legal advice” above, we do not warrant that the Service will locate the correct document, that a retrieved document is complete, current, or the version applicable to you, that our analysis is accurate, complete, or free of error, that scores are comparable between documents or over time, or that the Service will be uninterrupted, timely, secure, or error-free.

Some jurisdictions do not allow the exclusion of certain warranties. In those places, this section applies to the maximum extent their law permits, and nothing here limits any non-excludable statutory right you have as a consumer.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for lost profits, lost revenue, lost data, lost goodwill, or business interruption — even if we were advised that such damages were possible.

Our total liability for all claims relating to the Service, in aggregate, is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or US$50.

We are specifically not liable for any decision you make, or do not make, in reliance on a score, a summary, or a finding, nor for any loss arising from a document our analysis misread, omitted, or misrepresented. “The Service is not legal advice” explains why: this is a screening tool, not a substitute for reading the document and taking advice.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any non-excludable consumer right. If applicable law does not allow some of the limitations in this section, they apply to you only to the extent permitted, and our liability is limited to the smallest amount that law allows.

15. Indemnification

You agree to indemnify and hold us harmless against any third-party claim, and any resulting loss, liability, damage, or reasonable legal cost, arising from your breach of these Terms, your misuse of the Service, content you submitted that you had no right to submit, or your publication or use of a result in a way “Acceptable use” prohibits. We will notify you of any such claim and you may control its defence with counsel of your choosing, provided you do not settle it in a way that imposes an obligation on us without our written consent.

16. Suspension and termination

You may stop using the Service and close your account at any time. If you are on Pro, cancelling and closing are separate steps — see our Billing & Refunds terms.

We may suspend or close your account, or restrict your access, if you materially breach these Terms, if we are required to by law, if your use exposes us or other users to legal or security risk, or if we discontinue the Service. Except where a breach is serious, unlawful, or ongoing, we will give you notice and a reasonable chance to put it right first. If we close your account because we are discontinuing the Service, we will refund any prepaid, unused portion of your subscription.

On termination, your right to use the Service ends immediately. Your account and scan data are deleted as described in the retention section of our Privacy Policy; a shared result you created stops being reachable once the underlying scan is deleted. The sections on third-party documents, text you submit, shared results, intellectual property, warranties, liability, indemnification, governing law, general terms, and language survive termination. If you need a copy of your scan history, request it at privacy@itsflag.com before closing your account.

17. Changes to these Terms

We may revise these Terms. When we do, we post the revised version on this page and update the "Last updated" date at the top. Continued use of the Service after a revision takes effect means you accept it.

For a change that materially reduces your rights or increases your obligations, we will give at least 30 days' notice by email to the address on your account, or by a notice in the Service, before it takes effect — and, for a paid plan, the change will not apply to the period you have already paid for. If you do not accept such a change, stop using the Service and cancel before it takes effect.

No silent rewrites

We will not treat a material change as accepted merely because it was posted. Notice comes first, and prior versions of these Terms are available on request.

18. Governing law and disputes

These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware, and each of us consents to venue there.

Either of us may instead bring an individual claim in a small-claims court that has jurisdiction, and nothing here prevents either of us from seeking urgent injunctive relief where it is needed to prevent immediate harm.

No forced arbitration, no class-action waiver

ItsFlag AI flags mandatory arbitration clauses and class-action waivers as red flags when it finds them in other companies' terms. We do not use them in ours. You keep your right to go to court, to participate in a class or collective action, and to a jury trial where the law gives you one.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law gives you the right to bring proceedings in your place of residence and to the protection of your local consumer law, this section does not take that right away.

Before starting formal proceedings, please email legal@itsflag.com with a description of the dispute. Most issues can be settled quickly, and we will engage in good faith for 30 days. This is a request, not a precondition — it does not limit your right to go to court, and it does not pause any limitation period.

19. General terms

  • Entire agreement. These Terms, together with the Privacy Policy and the Billing & Refunds terms, are the whole agreement between us about the Service and replace any earlier understanding on the same subject.
  • Severability. If a provision is held unenforceable, it is limited or removed to the minimum extent necessary and the rest stays in force.
  • No waiver. If we do not enforce a provision, we do not waive it. A waiver is effective only if given in writing.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, provided the recipient assumes our obligations to you.
  • Force majeure. Neither of us is liable for a failure to perform caused by an event beyond reasonable control, including a third-party provider outage — except for an obligation to pay money already due.
  • No third-party beneficiaries. These Terms create rights only for you and us.
  • Notices. We will contact you at the email address on your account. Send us notices at legal@itsflag.com.
  • Independent parties. These Terms do not create a partnership, agency, employment, or joint-venture relationship.

20. Language

These Terms are published in English and Arabic. The English version is the authoritative one: if the two differ in meaning, the English text governs. The Arabic version is provided for convenience, and any inconsistency in it does not create a right or obligation that the English text does not.
